1. Agreement & Platform Scope
These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Merchant" or "Tenant") and Tizara Technologies ("Tizara", "we", "us", or "our"), regarding your access to and use of the Tizara multi-tenant e-commerce platform, APIs, storefronts, and merchant dashboard.
By creating a store, purchasing a subscription, or accessing any part of the platform, you agree to comply with all terms herein. If you do not agree, you must immediately discontinue use of the platform.
2. Eligibility & UAE Business Licensing
To create and operate a merchant store on Tizara, you represent and warrant that:
- You are at least 18 years of age or possess legal capacity to enter binding commercial contracts.
- If operating commercially within the United Arab Emirates, you hold a valid Dubai DET Commercial License, E-Trader License, Free Zone License, or equivalent commercial permit authorizing online retail and e-commerce trade.
- You are solely responsible for compliance with UAE Federal Tax Authority (FTA) value-added tax (VAT 5%) filing and corporate tax laws.
3. Merchant Accounts & Tenant Security
Merchants are provided isolated tenant accounts governed by secure cryptographic authentication. You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and OTP tokens.
You agree to notify Tizara immediately at hello@tizara.ae if you suspect unauthorized access or security breaches on your store dashboard.
4. Prohibited Goods & Conduct under UAE Law
Merchants may not sell, advertise, or distribute any goods or services prohibited under UAE Federal Law, Islamic principles, or Dubai Customs regulations. Violations result in immediate store termination and referral to UAE law enforcement authorities.
Prohibited categories include, but are not limited to:
- Counterfeit goods, replicas, or trademark-infringing merchandise.
- Unlicensed pharmaceutical items, medical drugs, and controlled substances.
- Weapons, ammunition, fireworks, or hazardous chemical materials.
- Adult, sexually explicit, or morally offensive materials violating UAE cultural standards.
- Gambling services, pyramid schemes, or unauthorized cryptocurrency promotions.
5. Custom Domains & Storefront Management
Merchants may connect proprietary custom domains to their Tizara storefronts. Tizara provisions automatic on-demand SSL/TLS encryption for all verified custom domains.
Merchants must not use domain names that infringe upon third-party trademarks, promote deceptive practices, or impersonate established brands in the UAE or globally.
6. Subscription Plans, Billing & Trial Period
- Plans & Features: Access to features is gated by the specific subscription package you select at checkout. The available packages, their prices, and the features each includes are shown on our pricing page and may be updated by Tizara from time to time.
- Trial Period: Tizara may offer a paid 7-day trial for AED 2.99, payable by card. This is not a free trial. When the 7-day trial ends (day 8), your card is charged the price of the plan and billing cycle (monthly or annual) you selected at checkout, and your subscription continues automatically. You can cancel anytime during the trial (before it ends) from the Billing page of your dashboard to avoid that charge.
- Recurring Billing: Subscriptions renew automatically on a monthly or annual billing cycle unless canceled prior to the renewal date.
- Non-Payment: If a subscription payment is not received by its due date you will be notified, and after a short grace period your merchant dashboard is locked until payment is made. Your storefront remains online and visible to your customers during this time, but checkout is disabled.
- Currency & Minor Units: All payments on Tizara are processed in UAE Dirhams (AED) using minor integer units to eliminate rounding discrepancies.
7. Merchant Obligations to Consumers
In compliance with UAE Federal Law No. 15 of 2020 on Consumer Protection, merchants operating storefronts on Tizara must:
- Provide accurate descriptions, honest pricing, and clear delivery timelines.
- Display a transparent Return & Refund Policy on their store.
- Issue clear electronic receipts and tax invoices detailing VAT amounts where applicable.
- Honor statutory warranty and replacement rights for defective or non-conforming goods.
8. Intellectual Property Rights
Platform Property: The Tizara platform, core software, user interfaces, documentation, and algorithms are the proprietary property of Tizara Technologies and protected by UAE copyright and international IP conventions.
Merchant Content: Merchants retain full ownership of product images, brand assets, logos, and descriptions uploaded to their stores, granting Tizara a non-exclusive license solely to host and display such content.
9. Platform SLA & Uptime Guarantee
Tizara strives to maintain a 99.9% platform availability SLA. We implement redundant cloud instances and Redis caching layers. Scheduled maintenance windows will be communicated in advance whenever feasible.
10. Suspension & Account Termination
Tizara reserves the right to suspend or permanently terminate merchant stores for:
- Breach of these Terms or non-compliance with UAE commercial regulations.
- Fraudulent transactions, chargeback abuse, or fake order manipulations.
- Non-payment of subscription fees following grace period notices.
11. Limitation of Liability & Indemnity
To the maximum extent permitted under UAE law, Tizara shall not be liable for indirect, incidental, or consequential damages resulting from lost sales, merchant inventory disputes, or third-party payment gateway downtime.
Merchants agree to indemnify and hold harmless Tizara, its directors, and employees against any claims arising from the merchant's products, consumer disputes, or regulatory violations.
12. Governing Law & Dubai Court Jurisdiction
These Terms shall be governed by and construed in accordance with the Federal Laws of the United Arab Emirates and the local laws applicable in the Emirate of Dubai.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts of Dubai.
